Terms of Service

Novenex (Private) Limited ("we", "us", "our") operates the Fixorazim home-services marketplace in Zimbabwe. By using the Service you agree to these Terms.

1. Acceptance of Terms

By accessing or using Fixorazim you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. Continued use after an update constitutes acceptance of the updated Terms.

2. Platform Description

Fixorazim is a two-sided marketplace connecting customers with service providers across Zimbabwe. Novenex acts solely as a marketplace and technology provider. We are not a party to service contracts between customers and providers, and we are not a bank, deposit holder, escrow company, or money custodian.

4. Service Provider Obligations

4a. Verification: Scope, Non-Reliance, Release & Indemnity

(a) What verification is. "Fixorazim verification" means a discretionary, non-exhaustive set of internal onboarding checks that Fixorazim may perform from time to time, in its sole discretion. Scope, criteria, methodology, and outcomes are determined by Fixorazim and may change without notice. A "Verified" badge (including bronze, silver, gold, and any successor tier or label) is an internal platform status marker only.

(b) What verification is NOT. To the maximum extent permitted by law, a Verified badge and any verification-related statement, representation, symbol, colour, label, ranking, or communication issued by Fixorazim are expressly NOT: (i) a licence, permit, accreditation, or certification of any kind; (ii) proof of identity for legal, regulatory, contractual, or evidentiary purposes; (iii) a criminal, credit, insurance, professional-competence, or background check; (iv) a warranty or guarantee of skill, competence, safety, quality of workmanship, insurance coverage, licensing, fitness for a particular purpose, or continued suitability; (v) an endorsement, recommendation, or vouching of the provider by Novenex (Private) Limited; (vi) a substitute for the contract of service between customer and provider; or (vii) a representation on which any user, third party, court, tribunal, regulator, insurer, adjudicator, or other person is entitled to rely as legal or evidentiary proof of any fact about a provider.

(c) Your independent duty of care. Before engaging any provider you MUST conduct your own due diligence appropriate to the job, including (as relevant): confirming any professional licence, permit, tax clearance, or insurance the work requires; reading the provider's ratings, reviews, and portfolio; meeting the provider; agreeing scope and price in writing (in-app chat suffices); and, for high-value or safety-critical work, obtaining independent professional advice. You expressly assume the risk of any decision to engage a provider.

(d) Non-reliance and release. To the maximum extent permitted by law: (i) you will not rely, and no third party is entitled to rely, wholly or in part on a Verified badge, on any verification-related representation, or on the presence, absence, colour, or tier of any badge, when deciding whether to engage a provider; and (ii) you irrevocably release, discharge, and forever hold harmless Novenex (Private) Limited, its parents, subsidiaries, affiliates, directors, officers, employees, agents, contractors, service providers, and assigns (together, the "Released Parties") from any and all claims, demands, losses, damages (direct, indirect, incidental, consequential, special, exemplary, or punitive), expenses (including legal fees on an attorney-client basis), and causes of action of every nature, whether now known or hereafter discovered, arising out of or in any way connected with a Verified badge, Fixorazim verification, or your reliance (in whole or in part) on either.

(e) Indemnity. You will indemnify, defend, and hold harmless the Released Parties from and against any third-party claim, action, proceeding, judgment, settlement, cost, or expense (including legal fees on an attorney-client basis) brought against them and arising out of or connected with (i) your reliance on a Verified badge or on Fixorazim verification; (ii) your engagement of, or dealings with, a provider you found through Fixorazim; (iii) your breach of subsection (c); or (iv) any content, communication, or dispute between you and a provider.

(f) No agency. No provider is an agent, employee, partner, joint venturer, or representative of Novenex. Nothing on the platform creates any such relationship.

(g) Statutory carve-out. Nothing in this clause purports to exclude or limit any liability that cannot lawfully be excluded or limited under the Consumer Protection Act [Chapter 14:14] or other mandatory Zimbabwean law; where a limit is not permitted, the liability is limited to the minimum extent permitted by law, and the remainder of this clause continues in full force and effect.

(h) Severability & survival. If any part of this clause is held void, illegal, or unenforceable by a court or tribunal of competent jurisdiction, that part is severed and the remaining provisions continue in full force. This clause survives termination of your account and of these Terms.

(i) Acknowledgement. By creating or continuing to use a Fixorazim account you acknowledge that you have read, understood, and accepted this Section 4a.

Fixorazim operates a non-custodial payment model. Electronic payments are processed by licensed third-party payment providers. The current list of providers, the payment channels they support, and their own terms of service are shown at checkout and in the app. Novenex may add, replace, or discontinue providers from time to time. Novenex does not hold customer deposits and does not operate an escrow or trust account. Channel availability is shown at checkout.
